Structuring International Mining Transactions

The course provides an overview of the legal and practical aspects of international mining transactions, covering the main stages and types of deals in the sector. These include:


  • Exploration, development, production, joint ventures, mergers and acquisitions, and divestments
  • Key financing sources and instruments for mining projects, such as equity, debt, streaming, royalty, and offtake agreements, and the related due diligence, security, and covenant issues
  • The general contractual framework for mining operations, such as mining licenses, concessions, leases, contracts of work, and mineral agreements, and the relevant regulatory, environmental, social, and governance (ESG) standards and risks that affect mining activities, such as human rights, indigenous rights, community engagement, anti-corruption, disclosure, and compliance.
  • The geopolitical factors and challenges that influence the mining industry, such as resource nationalism, political stability, taxation, arbitration, and sanctions, and the strategies and best practices for managing and mitigating them.

Audience

The course is designed for international LLM students, as well as in-house and external practitioners who are interested in gaining a comprehensive and comparative understanding of the legal and commercial aspects of international mining transactions and the opportunities and challenges they present for lawyers, investors, and stakeholders.


Facilitators

Scot

Scot Anderson is the Managing Partner of Womble Bond Dickinson in Denver, Colorado. Scot advises clients on commercial transactions, including the acquisition, divestiture, and financing of natural resource projects. His work on project development covers finance, regulatory compliance, permitting, and operational, commercial and joint venture agreements. He also represents clients in administrative proceedings and federal, state, and tribal courts.


Scot regularly advises on projects throughout the Americas, Europe, Australia, Africa, and Asia. He is also working on the development of natural resources in outer space. Prior to joining Womble, Scot was a partner at a global Am Law 50 firm and served as global head of their Energy and Natural Resources industry sector group. He also has ten years of in-house experience at a major international oil and gas company.


Scot is a past president of the Foundation for Natural Resources and Energy Law. He routinely delivers lectures, presentations, and publications on natural resources matters and is an honorary lecturer at the University of Dundee Centre for Energy, Petroleum, and Mineral Law and Policy.


Catherine

Catherine "Cassie" J. Boggs was elected as the first woman Chair of the Hecla Board in 2022 and was appointed to the Board in 2017. Until her retirement in February 2019, Ms. Boggs served as the General Counsel at Resource Capital Funds from January 2011 to 2019. Since November 2019, she has been serving as an International Expert in mining with the U.S. Department of Commerce's Commercial Law Development Program. She was Senior Vice President, Corporate Development at Barrick Gold Corporation from January 2009 to December 2010 and Vice President from July 2005 to 2008. Ms. Boggs was also an international partner at the law firm of Baker & McKenzie from July 2001 to July 2005. She has 37 years of experience as a mining and natural resources lawyer with experience in domestic and international mining projects.


Adriano

Adriano specialises in mineral policy and mining sector regulations, with significant domestic and international experience. He works with the mining sector, focusing on project development, contracts, mergers and acquisitions, financing, and ESG factors linked to mining.


Based in Brasília, Adriano monitors legal issues involving regulatory agencies in the sector, such as the National Mining Agency (ANM). He is a professor at the University of Brasília (UnB) and also teaches courses on Mineral Law and Policy at other Brazilian and foreign institutions.
