Corporate Governance Course

Objective

The objective of this course is to introduce students to the components and functions of corporate governance and its basic principles in management and leadership.


Specific Objectives

  • To provide a comprehensive understanding of the components that affect the success of corporate governance, with an emphasis on management and organizational aspects.
  • To focus on both theoretical foundations and practical experiences in enhancing the effectiveness of corporate governance, with a focus on the role of the board of directors.

Course Outline

  • The role of corporate governance in the concept of organization and its economic principles
  • Components of corporate governance (internal and external organizational perspective)
  • The role of shareholders and the general assembly in corporate governance
  • Key roles of the board of directors and different theoretical approaches to explaining the role of the board of directors and its relationship with the CEO
  • Factors affecting the success of the relationship between the board of directors and the CEO
  • Leadership in the board of directors and its models
  • Legal aspects of corporate governance with an emphasis on the legal aspects of the board of directors' role
  • Models and tools for evaluating and self-evaluating the board of directors
  • Review of the skills required for board members in various fields, such as legal, financial, and strategic aspects
  • Ethics and social responsibilities in the board of directors
