Course Description

The course covers the essential regulations and case law related to limited liability companies, as well as key EU regulations. It explores the administration of limited liability companies, corporate governance, decision-making, and management liability. Additionally, it examines the capital system, creditor protection, distribution of assets, financing, auditing, and changes in the form of the company.

Learning Objectives

Upon completing the course, students will be able to:

• Understand the significance of private and public limited liability company regulations in business decision-making
• Identify the main objectives of limited liability company legislation
• Recognize the key characteristics of limited liability companies and distinguish them from other forms of companies
• Analyze the practical implications of different options for limited liability companies and assess the associated risks and opportunities
• Apply key concepts in limited liability company law to real-world scenarios and identify the central legal issues in given situations
