Program Overview


Introduction to Company and Partnership Law

The Company and Partnership Law course, LAWS 360, is an introduction to the principles of company and partnership law. This course covers key topics such as company formation, corporate personality, corporate transactions and liability, the role of shareholders and shareholder remedies, and the role of the board and directors' duties.

Course Objectives

Students who pass this course should be able to:


  • Recognise and analyse legal issues arising in the context of the conduct of business through companies and partnerships
  • Produce work in relation to objective (1) under time pressure in a manner simulating the time pressures under which New Zealand legal professionals typically work
  • Discuss insightfully the regulation of private economic activity that occurs through vehicles such as companies and partnerships

The course is taught through in-person lectures two times per week for 12 weeks, excluding public holidays.

Mandatory Requirements

To pass this course, students must:


  • Achieve an overall pass mark of at least 50%
  • Complete and obtain a minimum of 40% in each piece of assessment to demonstrate that they have achieved all course objectives

Prerequisites and Restrictions

  • Prerequisites: 60 LAWS 200-level points
  • Corequisites: 60 further LAWS 200-level points, LAWS 301
  • Restrictions: Students who have already passed COML 204 or COML 303 cannot take this course
