These terms tell you the rules for using all services provided by Educatly, on behalf of our partner universities, either hosted on our website at www.educatly.com, or applications at educatly.app, integrated via widgets on a university website or provided via the Educatly Mobile App.

Educatly is a service operated by Educatly Limited ("We"). We are a limited company registered in Ireland under company number 675774 and have our registered offices in Dublin, Dubai and Cairo. To contact us, please email universities@educatly.com.

By using Educatly, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms, you must not use Educatly. We recommend that you print a copy of these terms for future reference.

These terms of use refer to the following additional terms, which also apply to your use of Educatly: Our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using Educatly, you consent to such processing and you warrant that all data provided by you is accurate. Mentioned below is our fair policy of use which sets out the permitted uses and prohibited uses of Educatly. When using Educatly, you must comply with these Policies.
Educatly offers a suite of solutions designed to transform the way universities engage with potential students, enhancing their global reach and streamlining the recruitment process. Our offerings are tailored to meet the needs of educational institutions at various stages of their marketing and recruitment journey, ensuring education remains accessible to everyone, everywhere. Below is a detailed description of our solutions and the main functionalities and services we provide.

Educatly Free Access is our foundational offering, designed to keep education accessible by providing basic but essential services for Educational Institutions aiming to enhance their presence within the international education network. This solution includes:
- Basic Profile Feasibility: Establishing a presence for Educational Institutions in the MENA region's premier network for international education.
- Enhanced Brand Positioning: Increasing visibility and engagement by redirecting students to the Educational Institution's website.
- Automatic, Up-to-Date Data: Ensuring information on universities and their programs is always current on our multilingual Educatly platforms, without any manual intervention.
- AI Chatbot Integration: Facilitating access to information on universities and their programs through an intelligent AI chatbot to enhance user interaction.
- Basic Insights: Providing Educational Institutions with preliminary insights into their profiles' performance and engagement levels with potential students.

Building upon the Free Access foundation, the Educatly Marketing Solution is crafted to boost the marketing efforts of Educational Institutions, enabling them to attract and recruit qualified students more effectively. This solution includes all Free Access benefits, supplemented with:
- Recruitment of Qualified Students: Connecting Educational Institutions with students who meet their programs' criteria.
- Prominent Profile Placement: Enhancing the visibility of Educational Institutions in search results to ensure prime exposure to prospective students.
- Direct Website Traffic: Directing potential students to the Educational Institutions' sites, reinforcing their brand identity.
- Customized Marketing Campaigns: Engaging prospective students through tailored marketing campaigns, including targeted email marketing.
- Dedicated Support: Providing Educational Institutions with dedicated account and customer success teams focused on maximizing recruitment efforts.

By virtue of these terms, educational institutions appoint Educatly, as its recruitment representative, on a non-exclusive basis, with the aim to promote the institutions' educational services, in the field of its different educational courses within Educatly’s platform and marketing channels.

The Educatly Recruitment Solution extends all Free Access benefits, offering Educational Institutions a comprehensive service spectrum to streamline the recruitment process from application to enrollment, including:
- Comprehensive Consultation Services: Offering expert guidance to Educational Institutions from application to enrollment, to optimize their recruitment strategies.
- Enhanced Visibility: Boosting the search visibility of Educational Institutions' profiles to attract more potential students.
- Advanced Insights: Delivering deeper performance insights to Educational Institutions for strategic decision-making.
- Simplified Application Process: Facilitating a smoother application process for students with the Easy Apply feature.
- Peer-to-Peer Recruitment Network: Enabling Educational Institutions to activate and manage a network for more authentic recruitment.
- Ambassador Widget Integration: Allowing the integration of ambassador widgets on websites to leverage student ambassadors in recruitment efforts.
- Sophisticated Communication Tools: Providing ambassadors of Educational Institutions with advanced communication apps, including chat insights for better engagement strategies.
- Dedicated Support: Ensuring the success and seamlessness of recruitment efforts with dedicated account and customer success support for Educational Institutions.

These terms and the provisions hereof, except as otherwise provided, shall be in full force and effect commencing on the date of first use and shall be automatically renewed for one-year periods unless earlier terminated by either party with thirty (30) days notice.

This is a mercantile arrangement. Even when Educatly is considered to be a Promoter of the Educational Institution's interests, and therefore, with full respect of the guidelines given by the Educational Institution, the parties agree that neither these terms nor the actions carried out by the contracting parties will result in a dependence relationship. Educatly’s activities shall be carried out under its own criteria and investment, by means of its own organization and management, and Educatly is allowed to contract personnel or other resources it deems appropriate to perform its services. Unless there is an agreement between both parties for the Educational Institution to fund the marketing activities run by Educatly to have a bigger pool of students sourced into their programs.

Educatly shall use its best efforts, consistent with good business practice, to:
Promote the programs and educational services of the Educational Institution among Educatly’s members, with the objective to promote the educational programs. To this effect, Educatly will perform, including, but not limited to, the following activities:
- Post the educational programs and branding on Educatly’s platform
- Sending information newsletters
- Recruitment campaigns and communication on social networks
- Briefings in universities & attending educational shows
- Media branding
Once Educatly has a student interested in an Educational Institution course or program, Educatly will help and guide that student in all the steps of the admission process until definitive registration.
Educatly will take charge of the interview with the students to evaluate their suitability, verifying that the student meets the necessary academic qualifications and training for the selected educational program.
To manage all the administrative processing for the student to get the VISA (if required). For this purpose, Educatly will need to collect the student’s documentation and the Educational Institution’s official documentation that certifies that the student has a reservation to study in the country of the Educational Institution.

The Educational Institution shall regularly provide Educatly with all information concerning the programs, tuition fees, admission requirements, and updates.
Educatly will submit to the Educational Institution the proposals in transaction and the Educational Institution will have 15 (fifteen) business days to approve the proposals. It is understood between the Parties that if, within such term, the Educational Institution does not give its express approval or disapproval, the proposals will be deemed disapproved.
Educatly accepts the Educational Institution’s right to reject any operation proposed by Educatly. Educatly agrees neither to subscribe nor to engage in any responsibility on behalf of or in representation of the Educational Institution without the Educational Institution’s prior written consent. Those agreements entered into in contravention of the aforesaid shall be considered null and void.

Educatly shall keep confidential, during the validity of these terms and after its termination or cancellation for a term of two years, all the information and data which the competence of the Educational Institution or its affiliates could use to its benefit, and shall neither disclose nor permit them to be used in any way which could damage the interests of the Educational Institution. Likewise, Educatly agrees to return to the Educational Institution all such confidential information and existing copies upon request.

Both parties, waiving expressly any jurisdiction which could correspond to them, agree to bring any question related to the application, interpretation, resolution, and cancellation of these terms to the local court of Educatly’s legal residence.

In the event that any term, condition, or provision or any portion of any term, condition, or provision of these terms is held by a Court of competent jurisdiction to be illegal or otherwise unenforceable, then such term, condition, or provision, or portion thereof, shall be deemed to be severed from these terms while all remaining terms, conditions, and provisions shall survive and remain in full force and effect.

These terms substitute all and any agreement, understanding, letters of intention and/or any other communications, both oral or written, between Educatly and the Educational Institution. Thus, these terms incorporate and represent the whole agreement and understanding between both parties.

Any amendment and/or modification of these terms shall be written and signed by both the Educational Institution and Educatly.

We amend these terms from time to time. Every time you wish to use Educatly, please check these terms to ensure you understand the terms that apply at that time.

We may update and change Educatly from time to time to reflect changes to Educatly, our users’ needs, our university partners’ needs, and our business priorities. We will try to give you reasonable notice of any major changes that affect you.

Our Platform is only intended for use by persons above the age of consent in their respective jurisdiction. End Users are required to submit their date of birth for age verification purposes. Where there is a justifiable reason to use the Platform below the relevant age of consent, parental consent will be required for such use.
This acceptable use policy sets out the terms between you and us under which you may access our website educatly.com and any educatly widget launched from a website of one of our university partners (Educatly). This acceptable use policy applies to all users of, and visitors to, Educatly. Your use of Educatly means that you accept, and agree to abide by, all the policies in this acceptable use policy, which supplement our Terms of Use.

You may use Educatly only for lawful purposes. You may not use Educatly:
- In any way that breaches any applicable local, national or international law or regulation.
- In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
- For the purpose of harming or attempting to harm minors in any way.
- To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards.
- To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam).
- To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

Educatly provides the ability for prospective students and student ambassadors to communicate and converse with one another. This communication is not moderated by us.
We are under no obligation to oversee, monitor or moderate any interactive service we provide on Educatly, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards.
The use of any of our interactive services by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not foolproof. Minors who are using any interactive service should be made aware of the potential risks to them.

These content standards apply to any and all material which you contribute to Educatly (contributions), and to any communication you have with any other user on Educatly. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any contribution as well as to its whole. Contributions must:
- Be accurate (where they state facts).
- Be genuinely held (where they state opinions).
- Comply with applicable law in Ireland and in any country from which they are posted.
- Contributions must not:
- Contain any material which is defamatory of any person.
- Contain any material which is obscene, offensive, hateful or inflammatory.
- Promote sexually explicit material.
- Promote violence.
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
- Infringe any copyright, database right or trade mark of any other person.
- Be likely to deceive any person.
- Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
- Promote any illegal activity.
- Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.
- Be likely to harass, upset, embarrass, alarm or annoy any other person.
- Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
- Give the impression that they emanate from us, if this is not the case.
- Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of Educatly. When a breach of this policy has occurred, we may take such action as we deem appropriate.
Failure to comply with this acceptable use policy constitutes a material breach of the terms of use upon which you are permitted to use Educatly, and may result in our taking all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use Educatly.
- Immediate, temporary or permanent removal of any posting or material uploaded by you to Educatly.
- Issue of a warning to you.
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
- Further legal action against you.
- Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

We may revise this acceptable use policy at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in this acceptable use policy may also be superseded by provisions or notices published elsewhere on Educatly.

Educatly commits to maintaining the confidentiality of all information and data pertinent to Educational Institutions and their affiliates during the agreement's term and for two years following its termination or cancellation. Educatly will not disclose or permit the use of such confidential information in any manner that could harm the interests of Educational Institutions. Additionally, upon request, Educatly agrees to return all such confidential information and any copies thereof to the Educational Institutions.
